Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Histone Solutions Private Limited ("Company", "we", "us", or "our") concerning your access to and use of our website histone.com.pk and our services.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use our website or services.

2. Services

Histone Solutions provides professional software development services including but not limited to:

  • Full-stack web application development
  • Amazon SP-API integration and marketplace solutions
  • AI/ML integration services (GPT-4, Claude API, LangChain, RAG systems)
  • SaaS product development
  • API development and integration
  • Cloud architecture and DevOps services

Specific services, deliverables, timelines, and pricing will be outlined in a separate Statement of Work (SOW) or Service Agreement for each project.

3. Use of Website

3.1 Permitted Use

You may use our website for lawful purposes only and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon our intellectual property rights or those of others
  • Transmit any harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to our systems
  • Engage in any activity that disrupts or interferes with our services
  • Use automated systems (bots, scrapers) without written permission
  • Impersonate any person or entity

3.2 Account Security

If you create an account or receive login credentials, you are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

4. Project Engagement

4.1 Service Agreement

Before commencing work, we will provide a detailed Statement of Work (SOW) or Service Agreement outlining:

  • Project scope and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Responsibilities of both parties
  • Acceptance criteria

4.2 Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide timely feedback and approvals
  • Supply necessary materials, access, and information
  • Designate a primary point of contact
  • Make payments according to agreed terms
  • Respond to communications within reasonable timeframes

4.3 Project Changes

Changes to project scope, timeline, or deliverables must be documented in writing and may result in adjusted pricing and timelines. We will provide a change order detailing the impact before proceeding.

5. Pricing and Payment

5.1 Fees

Our fees are based on project scope, complexity, and estimated time requirements. Pricing structures may include:

  • Fixed-price projects
  • Hourly rates
  • Milestone-based payments
  • Retainer agreements

5.2 Payment Terms

Unless otherwise specified in the SOW:

  • Payment is due within 7 days of invoice date
  • Milestone payments are due upon completion of specified deliverables
  • Late payments may incur interest charges of 1.5% per month
  • We reserve the right to suspend work for overdue invoices

5.3 Deposits

We may require an upfront deposit (typically 30-50% of total project cost) before commencing work. Deposits are non-refundable except as specified in the refund policy.

5.4 Expenses

Additional expenses (third-party services, licenses, hosting) will be billed separately with client approval.

6. Intellectual Property

6.1 Client-Owned IP

Upon full payment, clients own the final deliverables and custom code developed specifically for their project, subject to the following:

  • We retain rights to our pre-existing tools, libraries, and frameworks
  • We retain rights to general knowledge, techniques, and methodologies
  • Third-party components remain subject to their respective licenses

6.2 Our IP

All intellectual property in our pre-existing materials, templates, frameworks, and methodologies remains our exclusive property.

6.3 Portfolio Rights

We reserve the right to showcase completed work in our portfolio, case studies, and marketing materials unless a non-disclosure agreement (NDA) prohibits such use.

7. Confidentiality

We agree to maintain confidentiality of all proprietary and sensitive information shared during the course of our engagement. Confidential information includes:

  • Business strategies and plans
  • Technical specifications and architecture
  • Customer data and user information
  • Financial information
  • Any information marked as confidential

For projects requiring enhanced confidentiality, we are willing to sign a mutual non-disclosure agreement (NDA).

8. Warranties and Disclaimers

8.1 Our Warranties

We warrant that:

  • Services will be performed in a professional manner
  • Deliverables will substantially conform to specifications in the SOW
  • We have the right to provide the services

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THE SOW, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that services will be uninterrupted, error-free, or meet all client expectations. Software development involves inherent complexities and uncertainties.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the fees paid for the specific project giving rise to the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for loss of profits, revenue, data, or business opportunities
  • Claims must be brought within one (1) year of the cause of action arising

10. Support and Maintenance

Unless specified in the SOW:

  • Post-delivery support is not included in project pricing
  • Bug fixes for defects discovered within 30 days of delivery may be provided at no charge
  • Ongoing maintenance and support can be arranged under separate agreement
  • Updates to third-party dependencies are client responsibility

11. Termination

11.1 Termination by Client

Clients may terminate projects with 14 days' written notice. Upon termination:

  • Client pays for all work completed to date
  • Client receives deliverables for completed milestones
  • Deposits and payments for work not yet performed are non-refundable

11.2 Termination by Company

We may terminate immediately if:

  • Client breaches these Terms or the SOW
  • Payments are 30+ days overdue
  • Client requests illegal or unethical work
  • Circumstances make project completion impractical

12. Indemnification

You agree to indemnify and hold harmless Histone Solutions, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your breach of these Terms
  • Your violation of any laws or third-party rights
  • Content or materials you provide to us
  • Your use of deliverables in violation of applicable laws

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Pakistan. Any disputes arising from these Terms or our services shall be resolved through:

  1. Negotiation: Good faith discussions to resolve the matter
  2. Mediation: If negotiation fails, non-binding mediation
  3. Arbitration/Litigation: Binding arbitration or courts of Rawalpindi, Pakistan

14. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/utility failures.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance of the modified Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with any SOW or Service Agreement, constitute the entire agreement between you and Histone Solutions.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force.

16.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to affiliates or successors.
